These Terms of Service ("Terms") govern your access to and use of CustomerTrackr's software-as-a-service platform (the "Service"). By accessing or using the Service, you agree to be bound by these Terms. If you do not agree to these Terms, you may not access or use the Service.
1. Acceptance of Terms
By creating an account, accessing, or using CustomerTrackr's Service, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you are entering into these Terms on behalf of a company or other legal entity, you represent that you have the authority to bind such entity to these Terms. If you do not have such authority, you must not accept these Terms or use the Service on behalf of such entity.
2. Account Registration and User Responsibilities
To use the Service, you must create an account by providing accurate, current, and complete information. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to:
- Provide accurate, current, and complete information during registration
- Maintain and promptly update your account information
- Maintain the security of your password and account
- Accept responsibility for all activities that occur under your account
- Notify CustomerTrackr immediately of any unauthorized use of your account
- Ensure that all users under your account comply with these Terms
CustomerTrackr reserves the right to suspend or terminate your account if any information provided is inaccurate, not current, or incomplete, or if CustomerTrackr has reasonable grounds to suspect that such information is inaccurate, not current, or incomplete.
3. Subscription Terms and Billing
The Service is provided on a subscription basis. By subscribing to the Service, you agree to pay the fees associated with your selected subscription plan. Subscription plans are available on a monthly or yearly billing cycle.
Subscription Plans:
- You may select from available subscription plans, each with different features and user limits
- Subscription fees are billed in advance on a recurring basis according to your selected billing cycle
- You may change your subscription plan at any time through your account settings
- Plan changes may result in prorated charges or credits as applicable
- No long-term contracts are required; subscriptions continue on a month-to-month or year-to-year basis until canceled
Billing:
- All payments are processed through Stripe, our third-party payment processor
- You must provide valid payment information to maintain your subscription
- By providing payment information, you authorize CustomerTrackr to charge your payment method for all fees due under your subscription
- If payment fails, CustomerTrackr may suspend or terminate your access to the Service
- You are responsible for any taxes, duties, or other governmental fees applicable to your subscription
4. Payment Terms and Refunds
Subscription fees are charged in advance for each billing period. All fees are non-refundable except as required by law. If you cancel your subscription, you will continue to have access to the Service through the end of your current billing period. No refunds will be provided for partial billing periods or unused portions of your subscription.
If you upgrade your plan during a billing period, you will be charged a prorated amount for the remainder of the current billing period. If you downgrade your plan, you will receive a prorated credit that will be applied to your next billing cycle.
5. Service Availability and Modifications
CustomerTrackr strives to provide reliable and continuous access to the Service but does not guarantee uninterrupted or error-free operation. The Service may be temporarily unavailable due to maintenance, updates, or circumstances beyond our control. CustomerTrackr reserves the right to modify, suspend, or discontinue any aspect of the Service at any time, with or without notice.
CustomerTrackr may update, enhance, or modify the Service from time to time. We will make reasonable efforts to notify you of material changes that may affect your use of the Service.
6. User Data and Content
You retain all ownership rights to the data and content you upload, store, or transmit through the Service ("User Content"). By using the Service, you grant CustomerTrackr a limited, non-exclusive license to access, use, and process your User Content solely for the purpose of providing and improving the Service.
You are solely responsible for:
- The accuracy, quality, and legality of your User Content
- Ensuring you have the right to upload, store, and process User Content through the Service
- Backing up your User Content
- Complying with all applicable laws and regulations regarding your User Content
CustomerTrackr will not access, use, or disclose your User Content except as necessary to provide the Service, comply with legal obligations, or as otherwise described in our Privacy Policy.
7. Acceptable Use Policy
You agree not to use the Service to:
- Violate any applicable laws, regulations, or third-party rights
- Upload, transmit, or store any content that is illegal, harmful, threatening, abusive, or otherwise objectionable
- Interfere with or disrupt the Service or servers connected to the Service
- Attempt to gain unauthorized access to the Service or any related systems or networks
- Reverse engineer, decompile, or disassemble any portion of the Service
- Use the Service to send spam, unsolicited messages, or other communications in violation of applicable laws
- Impersonate any person or entity or misrepresent your affiliation with any person or entity
- Use automated systems (bots, scrapers, etc.) to access the Service without express written permission
- Share your account credentials with others or allow unauthorized access to your account
Violation of this Acceptable Use Policy may result in immediate suspension or termination of your account without notice or refund.
8. Intellectual Property
The Service, including its original content, features, and functionality, is owned by CustomerTrackr and is protected by United States and international copyright, trademark, patent, trade secret, and other intellectual property laws. These Terms do not grant you any right, title, or interest in the Service or its content, except for the limited right to use the Service as set forth in these Terms.
CustomerTrackr's trademarks, service marks, and logos may not be used without CustomerTrackr's prior written consent.
9. Account Termination
You may cancel your subscription at any time by contacting our customer service team. Upon cancellation, your subscription will remain active until the end of your current billing period, after which your access to the Service will be terminated.
CustomerTrackr may suspend or terminate your account immediately, without prior notice or liability, if you breach these Terms, engage in fraudulent or illegal activity, or for any other reason at CustomerTrackr's sole discretion.
Upon termination, your right to use the Service will immediately cease. CustomerTrackr may delete your account and User Content after a reasonable period following termination. You are responsible for exporting your User Content prior to account termination.
10. Disclaimer of Warranties
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. CustomerTrackr DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE, OR THAT DEFECTS WILL BE CORRECTED.
11. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, CustomerTrackr SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM YOUR USE OR INABILITY TO USE THE SERVICE.
IN NO EVENT SHALL CustomerTrackr'S TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THE USE OF THE SERVICE EXCEED THE AMOUNT YOU PAID TO CustomerTrackr IN THE TWELVE (12) MONTHS PRIOR TO THE ACTION GIVING RISE TO THE LIABILITY.
Some jurisdictions do not allow the exclusion of implied warranties or limitation of liability for incidental or consequential damages, so the above limitations may not apply to you.
12. Indemnification
You agree to indemnify, defend, and hold harmless CustomerTrackr, its officers, directors, employees, agents, and affiliates from and against any claims, liabilities, damages, losses, and expenses, including reasonable attorneys' fees, arising out of or in any way connected with your access to or use of the Service, your User Content, or your violation of these Terms.
13. Modifications to Terms
CustomerTrackr reserves the right to modify these Terms at any time. We will notify you of material changes by posting the updated Terms on our website and updating the "Last Updated" date. Your continued use of the Service after such modifications constitutes your acceptance of the updated Terms. If you do not agree to the modified Terms, you must stop using the Service and cancel your subscription.
14. Governing Law and Dispute Resolution
These Terms shall be governed by and construed in accordance with the laws of the State of California, without regard to its conflict of law provisions. Any disputes arising out of or relating to these Terms or the Service shall be resolved in the state and federal courts located in California.
15. General Provisions
These Terms constitute the entire agreement between you and CustomerTrackr regarding the Service and supersede all prior agreements and understandings. If any provision of these Terms is found to be unenforceable, the remaining provisions will remain in full force and effect. CustomerTrackr's failure to enforce any right or provision of these Terms will not be considered a waiver of such right or provision.
